Explanation of Responses:
(1) Each Paired Share is comprised of one share of common stock, par value $0.01 per share, of Extended Stay America, Inc. and one share of Class B common stock, par value $0.01 per share, of ESH Hospitality, Inc., which shares are paired and traded as a single unit.
(2) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $12.25 to $12.35, inclusive. The reporting person undertakes to provide the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.
(3) This amended Form 4 corrects the number of Paired Shared beneficially owned directly by the reporting person following the reported transaction, which number was inadvertently misstated. The reported transaction that occurred on November 13, 2020 was a sale of Paired Shares that were beneficially owned indirectly by the reporting person through the Richard F. Wallman IRA, an individual retirement account for which he is a fiduciary, rather than a sale of Paired Shares that the reporting person beneficially owned directly.
(4) These Paired Shares are held through the Richard F. Wallman IRA, an individual retirement account for which he is a fiduciary.
