( 1)  This Form 4 is filed jointly by Jack L. Howard and EMH Howard, LLC ("EMH"). EMH and Mr. Howard are members of a Section 13(d) group that owns more than 10% of the Issuer's outstanding shares of common stock and Mr. Howard is a director of the Issuer. The securities reported in this Form 4 are owned directly by EMH, and owned indirectly by Mr. Howard by virtue of his position as the managing member of EMH. Mr. Howard disclaims beneficial ownership of the shares owned by EMH except to the extent of his pecuniary interest therein.
