This registration statement relates to the registration
of 550,000 additional shares of the common stock, par value $0.01 per share, of ESCO Technologies Inc. (the “Company”), reserved
for issuance under the Company’s 2018 Omnibus Incentive Plan. The contents of the Company’s registration statement on Form
