(1)	Received in exchange for 25,000,000 common shares of Next Green Wave Holdings Inc. ("NGW") pursuant to the Arrangement Agreement between NGW and Planet 13 Holdings Inc. ("Planet 13") (the "Arrangement"). On March 2, 2022, the effective date of the Arrangement, the closing price of Planet 13's common shares on the Canadian Stock Exchange was C$3.34 per share.
