Notice of Annual General Meeting


The Company has sent a letter to Shareholders giving notice of the 2006 Annual
General Meeting ("AGM") which will be held on 30 May 2006 at The Cannon Centre,
4th Floor, 78 Cannon Street, London, EC4.

In the Directors' Report to the accounts issued for the year ended 31 March
2005, it was explained that as the Company had already held one AGM in 2005 and
it was unable to hold more than one in a calendar year, the adoption of the 2005
reports and accounts and the other business which would usually be conducted at
an AGM would be dealt with at an extraordinary general meeting on 19 September
2005.

Thereafter, to bring the Company back onto a normal calendar as soon as
possible, the directors would convene an AGM for late May 2006 which would be
adjourned pending finalisation of the reports and accounts for the year ended 31
March 2006.  Since the previous AGM was held on 2 March 2005, the Company is
legally required to hold the next one on or before 1 June 2006.

Since the reports and accounts for the year to 31 March 2006 are not yet
completed and cannot be issued to shareholders, it will be proposed at the AGM
that resolutions to deal with the re-election of directors and the authorities
to the directors to allot shares and disapply pre-emption rights, which expire
and are renewed annually; are dealt with.  A resolution will then be proposed
for the AGM to be adjourned and reconvened at a suitable date after the accounts
have been issued.

At the reconvened AGM, which is likely to be held in September 2006, the rest of
the normal business (adoption of the reports and accounts and re-election of
auditors) will be dealt with.
