Rowan Dartington & Co. Limited ("Rowan Dartington"), announces that it has given
notice of its conditional resignation as nominated adviser and broker to Bristol
& London PLC (the "Company").  This action follows the profit warning on Friday,
28th May 2004, which itself followed an earlier profit warning made by the
Company on 26th January 2004.

Rowan Dartington has informed the Company that, in view of these profit
warnings, it has lost confidence in the current executive management of the
Company and that, due to the failure to make any progress in informal
discussions with the Company, it will resign as the Company's nominated adviser
and broker with effect from 30 September 2004 unless the Company commits by 30
June 2004 to take appropriate and effective action with a view to achieving an
improvement in the Company's financial performance and ensuring that the
interests of public shareholders are protected.

Rowan Dartington has informed the Company that it considers the following action
to be appropriate in the circumstances:

 1. the effective replacement (with appropriate shareholding safeguards) of the
    current Chief Executive; or

 2. a review of the Company's business, financial performance and prospects being
    carried out by reporting accountants and the Company complying with any
    recommendations; or

3.      a tender offer to buy back the shares currently held in public hands at
a price no less than the price per share on admission of the Company's entire
issued share capital to AIM.

In the event that the Company does not commit to take such action, or other
action which Rowan Dartington considers is appropriate to demonstrate that the
business is being operated in the best interests of all shareholders, Rowan
Dartington considers the interests of the public shareholders might best be
served by a sale of the entire issued share capital of the Company.

Rowan Dartington regrets the necessity for this action which has been taken in
view of the two separate profit warnings being given in respect of the year
ended 31st January 2004 and the year ending 31st January 2005 following the
Company's flotation on AIM on 25th September 2003.
