In accordance with Rule 4.3 of the UK Listing Authority's Disclosure and 
Transparency rules, Octopus VCT 2 plc (the "Fund") presents an Interim 
Management Statement for the period 1 February 2011 to 31 May 2011.

Investment performance and activity 
This   is  the  first  Interim  Management  Statement  of  the  Fund  since  its 
incorporation  in January 2011.  During that time  the Fund has been raising new 
funds  and as at 31 May 2011 had raised gross proceeds of  GBP18.2 million.  At 31 
May 2011 the NAV of the Fund was 94.5p. 
 
In terms of investment activity, the Fund has so far invested a total of  GBP9.1 
million in 18 solar power companies. All these investments are presently valued 
at cost.  Further details will be provided in the Fund's first interim report 
due for publication in August 2011.
