("Plus500" or the "Company")

Director/PDMR Dealing and Total Voting Rights

Plus500, a global multi-asset fintech group operating technology-based trading platforms, announces that on 31 December 2024 it issued a total of 1,420,239 ordinary shares of NIS 0.01 ("Ordinary Shares") out of the Ordinary Shares held in treasury, as follows:

 

·    213,948 Ordinary Shares to certain persons (including PDMRs and/or PCAs as detailed below) to satisfy deferred payments due to them under the Company's 2024 bonus scheme.

 

·    767,431 Ordinary Shares to PDMRs and/or their PCAs as detailed below to satisfy payments due to them under the Company's vested 2022 LTIP grant scheme.

 

·    196,460 Ordinary Shares to PDMRs and/or their PCAs as detailed below to satisfy payments due to them under the Company's vested 2022, 2023 and 2024 RSU grant scheme.

In addition, 242,400 Ordinary Shares were issued to non-PDMRs to satisfy payments due to them under the Company's vested 2022, 2023 and 2024 RSU grant schemes.

Total Voting Rights

Following the issue of the 1,420,239 Ordinary Shares on 31 December 2024 and following the repurchase of 25,850 Ordinary Shares on 31 December 2024, as of 31 December 2024, the number of Ordinary Shares in issue was 74,318,627 (excluding treasury shares) and the Company held 40,569,750 Ordinary Shares in treasury. Therefore, the total voting rights in the Company as of 31 December 2024 was 74,318,627. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
