Result of Extraordinary
General Meeting
PPHE Hotel Group confirms that at
the Company's Extraordinary General Meeting held at 12 noon on 28
February 2024 (the "EGM")
the resolution relating to the Rule 9 Waiver (the "Rule 9 Waiver Resolution"), as proposed
at the EGM, was passed. The Rule 9 Waiver Resolution was duly
passed by a majority of the votes cast by the Independent
Shareholders only.
The full text of the Rule 9 Waiver
Resolution was included in the Company's Notice of Extraordinary
General Meeting (dated 7 February 2024) that was posted or e-mailed
to shareholders and also made available on the Company's
website www.pphe.com (the "Notice"). The
following table shows the results of the votes cast.

The Board is pleased with the
support from Independent Shareholders for the Rule 9 Waiver
Resolution. A further announcement will be
made regarding any decision to implement the Share Buy-Back
Authority at the relevant time.
In accordance with the Listing Rules
a copy of the Rule 9 Waiver Resolution has been forwarded to the
Financial Conduct Authority and will shortly be available for
inspection at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism
