Item 8.01Other Events.

 

On July 27, 2023, Digital Brands Group, Inc. (the “Company”) received formal notice from The Nasdaq Stock Market LLC (“Nasdaq”) that the Nasdaq Hearings Panel (the “Panel”) has granted the Company’s request for continued listing on Nasdaq subject to the Company’s compliance with the minimum $1.00 bid price and $2.5 million stockholders’ equity requirements for continued listing on The Nasdaq Capital Market, as set forth in Nasdaq Listing Rules 5550(a) and 5550(b), respectively, through September 6, 2023, and September 15, 2023, respectively. The Company is diligently working to timely evidence compliance with the terms of the Panel’s decision; however, there can be no assurance that the Company will be able to do so.
