Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 12, 2024, W. Edward Walter informed the Company of his decision to retire from the Board of Directors (the “Board”) at the time of the Company’s 2024 Annual Meeting of Stockholders. Mr. Walter has served on the Board of Directors since 2008 and his planned retirement from the Board is consistent with the term limit expectations contained in the Company’s Corporate Governance Guidelines and is not based on any disagreement Mr. Walter has with the Company. During his tenure on the Board of Directors, Mr. Walter served as Lead Independent Director for four years and also served, at various times, as the Chair of the Compensation Committee and the Investment and Finance Committee.
