On February 21, 2024, Dr. Vanessa Guthrie, a member of the Board of Directors (the “Board”) of Tronox Holdings plc (“Tronox” or the “Company”), notified
the Company of her decision not to stand for re-election to the Board at the Company’s 2024 Annual General Meeting of Shareholders, and will step off the Board with immediate effect. Dr. Guthrie’s decision not to stand for re-election is not the
result of any disagreement with the Company. Dr. Guthrie has served as a director of Tronox since March 2019.
