Item 8.01 Other Events

On December 12, 2012, Canandaigua National Corporation announced that its Board of Directors has declared a cash dividend of $1.63 per common share payable on December 27, 2012 to shareholders of record on December 22, 2012.  This is an accelerated dividend that would have been paid in February 2013.
