Kingdom Professional Securities Market

The Euro 60,000,000 Series A Euro CMS Linked Non-Cumulative Perpetual Guaranteed 
Preference Shares issued by BIBM Preferents Ltd. are guaranteed by Banc 
Internacional D'Andorra S.A., a company incorporated under the laws of Andorra. 
The terms and conditions of the guarantee are described in a subordinated 
guarantee dated 26 June 2006 executed and delivered by Banc Internacional 
D'Andorra S.A,



On this date, the shareholders of Banc Internacional d'Andorra, S,A. and Andorra 
Banc Agricol Reig, S.A. have formalised a process to integrate Banc Internacional 
d'Andorra, S.A and Andorra Banc Agricol Reig, S.A. in order to achieve higher 
levels of equity strength, profitability and efficiency, which has been carried 
out by means of a Share swap between the shareholders of Banc Internacional 
d'Andorra, S.A and the shareholders of Andorra Banc Agricol Reig, S.A,, who 
exchanged their respective shares in Banc Internacional d'Andorra, S.A and 
Andorra Banc Agricol Reig, S.A. Moreover, for the purposes of simplifying the 
corporate structure, the shares of Andorra Banc Agricol Reig, S.A. will 
subsequently be contributed to Banc Internacional d'Andorra, S.A. The 
shareholders of Banc Internacional d'Andorra, SA and Andorra Banc Agricol Reig, 
S.A. will have to obtain the required authorisations and registration in 
accordance with the applicable Andorran regulations."
