DEREGISTRATION OF SECURITIES

 

Progress Software Corporation (the “Registrant”) is filing this Post-Effective Amendment to deregister all 14,343 unsold shares of the Registrant’s common stock, par value $0.01 per share (the “Common Stock”), that were registered under the Registration Statement on Form S-8 filed on September 21, 2007 (File No. 333-146233, the “Registration Statement”) for issuance pursuant to the Progress Software Corporation 2004 Inducement Stock Plan (the “Inducement Plan”). The Registrant terminated use of the Inducement Plan. Please note that 2,373 shares of Common Stock remain subject to outstanding awards previously granted under the Inducement Plan and, consequently, the Registration Statement will remain in effect to cover the potential exercise or issuance of shares with respect to outstanding awards under the Inducement Plan.
